These Terms of Use (“Terms”) govern access to and use of reporting.viagodirect.com. By accessing or using this site, you agree to these Terms.

1. Internal Use Only

This site is owned and operated by Viago LLC, DBA Viago Direct, and is intended solely for authorized internal users approved by Viago. No public, customer, or external access is permitted unless expressly authorized by Viago.

2. Eligibility and Access

Access is restricted to users approved through Viago’s internal process and authenticated through Microsoft access controls. You may not access or attempt to access the site unless you are authorized to do so.

Viago may suspend, restrict, or terminate access at any time for security, policy, operational, or legal reasons.

You may use the site only for legitimate internal business purposes, including reviewing company KPIs, viewing reports, and downloading data made available to you as part of your authorized access.

Any reports, exports, screenshots, downloaded files, or data obtained from the site remain confidential and proprietary to Viago LLC. The same restrictions that apply to the site also apply to downloaded data.

Downloaded data may only be used for authorized internal business purposes and may not be shared outside approved channels.

5. Ownership and Intellectual Property

The site and all related content, including reporting layouts, text, graphics, branding, logos, downloadable materials, data presentation, and underlying materials, are owned by Viago LLC or its licensors and are protected by applicable intellectual property and proprietary rights laws.

No right, title, or license is granted except for the limited internal-use right expressly stated in these Terms.

6. Confidentiality

Because this site contains internal company information, you agree to maintain the confidentiality of all information made available through the site and to use reasonable care to prevent unauthorized access, disclosure, or misuse.

7. No Warranty

This site and all information made available through it are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Viago disclaims all warranties, express or implied, including warranties of accuracy, completeness, availability, fitness for a particular purpose, non-infringement, and merchantability.

To the fullest extent permitted by law, Viago LLC and its affiliates, officers, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, or similar damages arising out of or related to access to or use of the site, even if advised of the possibility of such damages.

9. Indemnification

You agree to defend, indemnify, and hold harmless Viago LLC and its affiliates, officers, employees, agents, and service providers from and against claims, damages, liabilities, costs, and expenses arising out of or related to your misuse of the site, violation of these Terms, or unauthorized use or disclosure of site content or downloaded data.

10. Changes to the Site or Terms

Viago may modify, suspend, restrict, or discontinue any part of the site at any time without notice. Viago may also update these Terms at any time by posting revised Terms with a new effective date. Continued use of the site after updates means you accept the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

12. Arbitration and Class Action Waiver

Any dispute arising from or relating to these Terms or the site will be resolved by binding arbitration in Maricopa County, Arizona, except where Viago seeks injunctive or equitable relief for misuse, confidentiality breaches, intellectual property violations, or unauthorized access.

To the fullest extent permitted by law, disputes must be brought only on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding.
